Product Sponsorship Terms

1. Product Definition. "Products" refers to the ClassDojo consumer products identified on the invoice (e.g., Dojo Sparks, Dojo Tutor, ClassDojo Plus), which are funded by the Purchaser but provided directly by ClassDojo to individual users for personal, non-school use.
2. Nature of Agreement. These Terms govern the funding of access to the Products by the entity listed on the invoice in the “Bill To” section of the applicable invoice (the "Purchaser").
3. Not an Institutional Service; Independent Relationship. Purchaser acknowledges that the Products are provided directly to individual families via non-school personal accounts. ClassDojo does not act as a school official or operator of institutional services in connection with the Products. Use of the Products is governed by the privacy policy and terms of service independently entered into directly between ClassDojo and the individual users. While Purchaser may determine eligibility for funded access to the Products, Purchaser is funding access only and does not control the operation, administration, or data management of the Products, including the means and methods by which the Products are provided. The Products fall outside the scope of any institutional agreements governing ClassDojo's provision of separate institutional services to Purchaser.
4. NO INDEMNIFICATION; AS-IS. PRODUCTS ARE PROVIDED TO THE PURCHASER ON AN "AS-IS" BASIS. CLASSDOJO DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. CLASSDOJO PROVIDES NO INDEMNIFICATION OF ANY KIND TO THE PURCHASER.
5. Exclusive Terms and Payment. These Terms, together with the applicable invoice, constitute the complete and exclusive agreement between the parties with respect to the Products. ClassDojo objects to and shall not be bound by any additional or different terms in any purchase order, remittance documentation, or other document from Purchaser, each of which is void and of no effect. By making payment, Purchaser represents that the individual authorizing payment has authority to bind Purchaser to these Terms. BY PAYMENT OF THE INVOICE, PURCHASER ACCEPTS THESE TERMS TO THE EXCLUSION OF ALL OTHERS.
6. LIMITATION OF LIABILITY. IN NO EVENT SHALL CLASSDOJO’S TOTAL LIABILITY TO THE PURCHASER FOR ANY CLAIM RELATED TO THE APPLICABLE INVOICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED THE TOTAL AMOUNT PAID UNDER THE APPLICABLE INVOICE. PURCHASER HEREBY WAIVES ALL CLAIMS FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

These Terms are governed by the laws of the state in which Purchaser is located, without regard to conflict of law principles. Any dispute arising out of or related to these Terms shall be brought exclusively in the state or federal courts of competent jurisdiction in Purchaser's county or state. If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force. Any delay or failure by ClassDojo to enforce any provision of these Terms shall not constitute a waiver of its right to do so. The provisions of these Terms that by their nature should survive expiration of the period of access to the Products funded by the applicable invoice shall do so, including without limitation the provisions on no indemnification and limitation of liability.
